Terms of Service.

These Terms of Service ("Terms") govern your access to and use of Repixo, including our website, applications, software, and related services (collectively, the "Service"). By accessing or using Repixo, you agree to these Terms. If you do not agree with these Terms, you must not access or use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Repixo ("Repixo", "we", "us", or "our") regarding your use of the Service.

By creating an account, accessing the Service, purchasing a subscription, or otherwise using Repixo, you acknowledge that you have read, understood, and agreed to these Terms.

If you are using Repixo on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must have the legal capacity to enter into a binding agreement under the laws applicable to you to use Repixo.

By using the Service, you represent and warrant that you meet this requirement.

3. User Accounts

You may need to create an account to access certain features of Repixo.

You agree to:

  • provide accurate, complete, and up-to-date information;
  • maintain the security and confidentiality of your account credentials;
  • promptly update information that becomes inaccurate or outdated; and
  • notify us if you believe your account has been accessed without authorization.

You are responsible for activities performed through your account unless they result from unauthorized access that was not caused by your failure to protect your account credentials.

You may not create an account using false information or impersonate another person or organization.

4. Acceptable Use

You agree to use Repixo only for lawful purposes and in accordance with these Terms and applicable laws and regulations.

You must not use Repixo to:

  • violate applicable laws or regulations;
  • infringe, misappropriate, or violate the intellectual property, privacy, publicity, or other rights of another person or organization;
  • submit or process content that you do not have the necessary rights, permissions, or authorization to use;
  • distribute unlawful, fraudulent, deceptive, defamatory, harmful, or misleading content;
  • generate or distribute spam or unsolicited communications;
  • impersonate another person, organization, or brand;
  • attempt to gain unauthorized access to the Service, another account, or any related system;
  • interfere with, disrupt, damage, or overload the Service;
  • circumvent usage limits, subscription restrictions, or other technical controls;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where applicable law expressly permits such activity;
  • use automated methods to access the Service in a manner that exceeds reasonable or permitted usage;
  • use the Service to develop or provide a substantially competing service through unauthorized use of Repixo; or
  • use Repixo in any manner that could reasonably harm Repixo, its users, third-party service providers, or other parties.

We may restrict, suspend, or terminate access to the Service if we reasonably believe that an account is being used in violation of these Terms or applicable law.

5. User Content

"User Content" means any content, data, text, URLs, documents, media, prompts, or other materials that you submit to, upload to, connect to, or otherwise provide to Repixo for processing.

You retain your ownership rights in your User Content.

You are responsible for ensuring that you have all rights, permissions, licenses, or other authorization necessary to submit User Content to Repixo and to use it for the purposes supported by the Service.

When submitting content from third-party sources, including videos, articles, podcasts, websites, or other media, you are responsible for ensuring that your use and processing of that content is authorized.

By submitting User Content to Repixo, you grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and otherwise use that User Content only as reasonably necessary to:

  • provide and operate the Service;
  • process your requests;
  • generate and deliver requested outputs;
  • maintain and secure the Service;
  • prevent abuse, fraud, or security incidents; and
  • comply with applicable legal obligations.

We do not claim ownership of your User Content solely because you submit it to Repixo.

You are responsible for maintaining appropriate backups of your User Content where necessary.

6. AI-Generated Content

Repixo uses artificial intelligence and third-party AI technologies to process information you provide and generate or transform content.

AI-generated content may contain inaccuracies, omissions, errors, unexpected results, or content that is unsuitable for your intended purpose.

You are responsible for reviewing, editing, verifying, and approving AI-generated content before publishing, distributing, or relying on it.

Repixo does not guarantee that AI-generated content will be accurate, original, complete, suitable for a particular purpose, or free from errors.

You are responsible for determining whether generated content is appropriate for your intended use and whether additional review, editing, fact-checking, permissions, or legal review is necessary.

7. AI Generations and Usage Credits

Certain Repixo plans include a limited number of AI generations during each active billing cycle.

An "AI Generation" means one successful AI processing request that generates or regenerates content.

An initial generation may produce multiple platform-specific outputs from a single AI processing request and still counts as one AI Generation.

Regenerating an individual output requires a new AI processing request and counts as one additional AI Generation.

Failed AI processing does not consume an AI Generation credit when no successful generation is produced.

Your available AI Generation allowance is determined by your selected plan and resets according to your active subscription billing cycle.

Unused AI Generations do not carry over to a subsequent billing cycle unless explicitly stated otherwise on the applicable pricing page or within the Service.

When you change subscription plans, your new plan's usage limits and billing cycle may begin immediately. Unused AI Generations from your previous plan do not carry over to the new plan.

Repixo may enforce reasonable technical usage limits necessary to protect the Service, prevent abuse, or maintain system availability.

8. Subscriptions and Billing

Certain features require a paid subscription.

Current plans, pricing, features, and usage limits are displayed on the Repixo pricing page and may change from time to time.

Paid subscriptions are recurring subscriptions and automatically renew at the end of each billing cycle unless canceled before the applicable renewal date.

When you purchase a paid subscription, you authorize the applicable payment provider to charge the payment method associated with your subscription for the applicable subscription fees and other amounts you authorize.

Your subscription provides access to the features and usage limits included in your selected plan during the applicable billing cycle.

Subscription prices may be subject to applicable taxes, fees, or other charges required by law or imposed during payment processing.

Your billing cycle, renewal date, subscription status, and payment information may be displayed through Repixo or the applicable payment provider's billing portal.

9. Payment Processing

Payments for Repixo are processed by authorized third-party payment providers.

The applicable payment provider may collect and process payment information, provide payment services, issue receipts or invoices, and manage certain billing functions on our behalf.

Your use of payment services may also be subject to the applicable payment provider's terms, policies, and privacy practices.

Repixo does not directly store complete payment card numbers or other sensitive payment credentials when those payment functions are handled by an authorized payment provider.

10. Subscription Cancellation

You may cancel your subscription through the billing management functionality provided by Repixo or the applicable payment provider, where available.

Canceling a subscription prevents future renewal charges.

Unless otherwise stated in the applicable plan or required by applicable law, cancellation does not automatically entitle you to a refund for amounts already paid.

Unless otherwise stated, you may continue to access applicable paid features until the end of your current billing cycle after cancellation.

After the subscription period ends, access to paid features and associated usage limits may be removed or reduced according to the applicable plan.

11. Refunds

Refund eligibility is governed by Repixo's Refund Policy, which forms part of these Terms.

The Refund Policy explains the circumstances under which a customer may request a refund, including applicable time limits and usage conditions.

Nothing in these Terms or the Refund Policy limits any mandatory refund, cancellation, or consumer rights that cannot legally be excluded or limited.

12. Third-Party Platforms and Services

Repixo may integrate with or provide functionality involving third-party platforms and services, including social media, content hosting, AI, transcription, authentication, storage, analytics, or other external services.

The availability and functionality of these integrations may depend on third-party APIs, policies, technical requirements, account permissions, availability, or other conditions outside our control.

Repixo does not guarantee that content submitted to or generated for a third-party platform will be accepted, published, scheduled, displayed, or remain available on that platform.

You are responsible for complying with the terms, policies, community guidelines, copyright requirements, and other rules applicable to any third-party platform or service you connect to or use through Repixo.

If a third-party platform changes, restricts, suspends, or removes an API or integration, certain Repixo features may become unavailable or may operate differently.

13. Intellectual Property

The Repixo Service, including its software, source code, branding, logos, designs, user interface, documentation, original text, graphics, and other materials provided by Repixo, is owned by or licensed to Repixo and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to you.

Subject to your compliance with these Terms, you may access and use the Service for its intended purposes during the applicable subscription period.

These Terms do not transfer ownership of your User Content to Repixo.

14. Service Improvements and Changes

We may modify, improve, add, remove, or discontinue features of the Service from time to time.

We may change plan features, usage limits, pricing, or other aspects of the Service.

Where appropriate, we will provide reasonable notice of material changes.

Changes to pricing or subscription terms will not retroactively change charges that have already been completed, unless otherwise required by applicable law.

We may also make changes that are necessary for security, legal compliance, technical requirements, third-party service changes, or the continued operation of the Service.

15. Service Availability

We strive to keep Repixo available, secure, and reliable, but we do not guarantee that the Service will always be uninterrupted, timely, secure, or error-free.

The Service may occasionally be unavailable or degraded because of:

  • scheduled or emergency maintenance;
  • software updates;
  • infrastructure failures;
  • third-party service interruptions;
  • API or platform changes;
  • network failures;
  • security incidents;
  • excessive demand; or
  • circumstances beyond our reasonable control.

We will make reasonable efforts to restore affected functionality when practical.

16. Disclaimer

To the maximum extent permitted by applicable law, Repixo is provided on an "as is" and "as available" basis.

We make no warranties, express or implied, regarding the Service, including its availability, reliability, accuracy, completeness, fitness for a particular purpose, or suitability for your specific needs.

We do not guarantee that:

  • the Service will meet all of your requirements;
  • the Service will always be available;
  • AI-generated content will be accurate or suitable for a particular purpose;
  • generated content will produce a particular result;
  • third-party integrations will always remain available; or
  • content will be accepted or published by third-party platforms.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Repixo and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill arising out of or related to your use of or inability to use the Service.

To the maximum extent permitted by applicable law, our total aggregate liability for claims arising out of or relating to the Service will be limited to the amount you paid to Repixo for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Repixo and its affiliates, officers, employees, contractors, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:

  • your violation of these Terms;
  • your misuse of the Service;
  • your User Content;
  • your violation of another person's or organization's rights; or
  • your violation of applicable laws or third-party terms.

This section does not apply to the extent that the claim results from Repixo's own unlawful conduct or liability that cannot legally be transferred to you.

19. Suspension and Termination

We may suspend or terminate your access to the Service if we reasonably believe that you:

  • materially violate these Terms;
  • engage in fraudulent or abusive activity;
  • use the Service unlawfully;
  • attempt to circumvent usage or security controls;
  • create a security or operational risk; or
  • otherwise engage in conduct that materially harms Repixo, its users, or third parties.

Where reasonably practical, we may provide notice and an opportunity to remedy the violation before termination, except where immediate action is necessary for security, fraud prevention, legal compliance, or protection of the Service or other users.

You may stop using Repixo and close your account at any time.

Termination of your account does not eliminate payment obligations that arose before termination.

20. Effect of Termination

Upon termination or expiration of your account or subscription:

  • your right to access paid features may end;
  • unused subscription credits may expire;
  • certain User Content may no longer be accessible through the Service; and
  • provisions that by their nature should survive termination will remain in effect.

Where applicable, we may retain certain information as required for legal, accounting, security, fraud prevention, or legitimate business purposes, in accordance with our Privacy Policy.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, technology, or our business operations.

When we make material changes, we may provide reasonable notice through the Service, website, email, or other appropriate means.

Your continued use of Repixo after revised Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

22. Governing Law and Disputes

These Terms are subject to applicable laws and regulations.

Any dispute arising out of or relating to these Terms or the Service will be handled through the courts or other dispute-resolution mechanisms that have appropriate jurisdiction over the applicable matter.

Nothing in this section limits any mandatory consumer protection, statutory, or other legal rights that cannot legally be excluded or limited.

23. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any other policies expressly incorporated into these Terms, constitute the agreement between you and Repixo regarding your use of the Service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.
